These Terms & Conditions govern access to and use of SpeakUp Buddy.

By accessing or using SpeakUp Buddy, you agree to these Terms & Conditions.

1. Who we are

SpeakUp Buddy is provided by Our Collective Genius Pty Ltd trading as Crucial Dimensions (“Crucial Dimensions”, “we”, “us”, “our”).

2. What SpeakUp Buddy is

SpeakUp Buddy is an AI-supported learning tool designed to help learners practise workplace communication and related skills through interactive scenarios.

SpeakUp Buddy is delivered through the LearnWorlds learning platform and uses an embedded AI chatbot provided through third-party technology providers.

3. Acceptance of these Terms

By registering for, accessing, or using SpeakUp Buddy, you agree to be bound by these Terms & Conditions and any other policies or notices we make available in connection with the service, including our Privacy Policy.

If you are using SpeakUp Buddy on behalf of an organisation, you represent that you are authorised to do so and that your organisation agrees to these Terms.

4. Access to the service

Access to SpeakUp Buddy may be provided:

  • directly by Crucial Dimensions,
  • through an organisation that has licensed or purchased access, or
  • through a seat, enrolment, or other access arrangement made available to you.

We may suspend, restrict, or withdraw access if:

  • your access period expires,
  • your organisation’s access rights end,
  • you breach these Terms,
  • continued access would create legal, security, or operational risk.

5. Accounts and login details

You may need a LearnWorlds account or other access credentials to use SpeakUp Buddy.

You are responsible for:

  • keeping your login details secure,
  • ensuring your account details are accurate,
  • notifying the relevant administrator or us if you become aware of unauthorised access to your account.

You must not share your login credentials with others unless expressly permitted.

6. Permitted use

You may use SpeakUp Buddy only for lawful purposes and in connection with its intended learning and practice functions.

You must not:

  • use the service in breach of any law;
  • upload, enter, or transmit unlawful, offensive, defamatory, discriminatory, or harmful material;
  • attempt to interfere with, disrupt, probe, or gain unauthorised access to the platform or related systems;
  • use the service to create or distribute spam, malicious code, or fraudulent content;
  • reverse engineer, scrape, copy, or reproduce the service except as permitted by law;
  • use the service in a way that infringes another person’s privacy, confidentiality, intellectual property, or other rights.

7. Important AI notice

SpeakUp Buddy uses artificial intelligence to generate responses.

You acknowledge and agree that:

  • AI-generated responses may be incomplete, inaccurate, inappropriate, or not suitable for your specific circumstances;
  • SpeakUp Buddy is intended as a learning and practice tool only;
  • SpeakUp Buddy does not provide legal, medical, psychological, financial, employment, or other professional advice;
  • you should not rely on chatbot responses as a substitute for professional advice, organisational policy, or human judgment.

You remain responsible for how you interpret and use any response generated by the service.

8. Do not enter sensitive or confidential information

You must not enter into SpeakUp Buddy:

  • health or medical information;
  • government identifiers;
  • card or banking details;
  • highly confidential commercial information;
  • sensitive employment matters beyond what is reasonably necessary for practice scenarios;
  • any other sensitive personal information you would not want processed through an AI-enabled tool.

We may monitor, restrict, or remove content that appears to breach this requirement or these Terms.

9. Third-party providers

SpeakUp Buddy is delivered using third-party platforms and providers, including:

  • LearnWorlds, for LMS and course access;
  • GenLearn and related AI service providers, for chatbot functionality;
  • hosting and infrastructure providers.

Some aspects of the service may therefore depend on third-party systems that we do not fully control.

We are not responsible for downtime, interruptions, changes, or limitations caused by third-party providers, except to the extent required by law.

10. Privacy

Your use of SpeakUp Buddy is also governed by our Privacy Policy.

Our Privacy Policy explains how personal information is collected, used, stored, and disclosed in connection with the service.

11. Service changes

We may update, improve, modify, suspend, or discontinue any part of SpeakUp Buddy from time to time, including:

  • chatbot functionality,
  • course content,
  • supported features,
  • integrations,
  • access methods.

We may do this with or without notice where reasonably necessary for operational, legal, security, or commercial reasons.

12. Intellectual property

All rights, title, and interest in SpeakUp Buddy, including associated content, branding, software, and materials provided by us, remain owned by Crucial Dimensions or our licensors.

You are granted a limited, non-exclusive, non-transferable right to access and use the service for its intended purpose during your authorised access period.

You must not copy, reproduce, distribute, adapt, publish, or commercially exploit any part of the service except as expressly permitted by us or by law.

13. User content and inputs

You retain any rights you may have in content or prompts you enter into SpeakUp Buddy, subject to the rights necessary for us and our service providers to operate the service.

By using the service, you grant us and our service providers a limited right to process your inputs and related content solely as necessary to:

  • provide the service,
  • generate responses,
  • maintain and support the service,
  • monitor security and misuse,
  • comply with legal obligations.

We do not use chatbot interaction data to train general AI models.

14. Organisational access and responsibility

If you access SpeakUp Buddy through your employer, client, training provider, or another organisation:

  • your access may be administered by that organisation;
  • that organisation may control whether your access is provided, changed, or removed;
  • reporting or learner administration functions available to that organisation may be governed by separate contractual arrangements.

15. Availability and no guarantee

We aim to make SpeakUp Buddy available and functional, but we do not guarantee that the service will always be uninterrupted, error-free, secure, or available at all times.

To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis.

16. Limitation of liability

To the maximum extent permitted by law:

  • we exclude all warranties, representations, and guarantees except those that cannot lawfully be excluded;
  • we are not liable for indirect, incidental, special, or consequential loss;
  • we are not liable for loss resulting from reliance on AI-generated responses;
  • we are not liable for interruptions, delays, or failures caused by third-party providers, internet outages, user error, or events outside our reasonable control.

Where liability cannot be excluded, our liability is limited to the maximum extent permitted by law.

Nothing in these Terms excludes rights you may have under the Australian Consumer Law or any other non-excludable law.

17. Suspension and termination

We may suspend or terminate your access immediately if:

  • you breach these Terms;
  • we reasonably suspect misuse, unlawful conduct, or a security risk;
  • your organisation’s right to provide you access ends;
  • we are required to do so by law or a third-party provider.

On suspension or termination, your right to access and use the service ends immediately unless otherwise required by law or agreed in writing.

19. Changes to these Terms

We may update these Terms & Conditions from time to time.

The updated version will be made available through the relevant website, footer, or platform location, and will apply from the stated effective date.

Your continued use of SpeakUp Buddy after updated terms take effect constitutes acceptance of the revised Terms.

20. Governing law

These Terms & Conditions are governed by the laws of Western Australia, Australia, unless another mandatory law applies and cannot be excluded.

Any dispute relating to these Terms will be subject to the courts of Western Australia, unless otherwise required by law.
